In these Terms, “OGI Minerals,” “OGI,” “we,” “us,” and “our” refer to OGI Minerals, LLC. “You” and “your” refer to each person who accesses the Website, submits information to us, or communicates with us through the Website.
By accessing or using the Website, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, please do not use the Website.
1. About OGI Minerals
OGI Minerals evaluates and purchases mineral, royalty, and related oil and gas interests. The Website allows mineral owners and their representatives to learn about OGI Minerals, provide information about an interest, request an evaluation, and communicate with our team.
Information provided through the Website is for general informational and business-inquiry purposes. Nothing on the Website constitutes legal, tax, financial, investment, engineering, geological, title, or other professional advice.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into an agreement to use the Website.
If you use the Website or provide information on behalf of another person, estate, trust, business, partnership, or organization, you represent that you are authorized to act on its behalf and provide the information submitted.
3. No Obligation to Sell or Purchase
Submitting a form, requesting an evaluation, communicating with OGI Minerals, or receiving preliminary pricing information does not obligate you to sell any mineral interest and does not obligate OGI Minerals to purchase it.
Unless expressly stated in a separate written agreement signed by the appropriate parties:
- Website content is not an offer to purchase;
- Preliminary pricing, estimates, and communications are nonbinding;
- OGI Minerals may accept or decline any inquiry;
- OGI Minerals may revise or withdraw preliminary pricing;
- No mineral-rights transaction has been formed; and
- Neither party is required to continue negotiations.
Any proposed transaction will be subject to further evaluation, verification of ownership, title review, due diligence, approval, and mutually acceptable written transaction documents.
4. Mineral-Interest Evaluations
Any evaluation, estimate, indication of interest, or proposed price may be based on information available at the time, including information supplied by you, public records, title information, operator information, production data, commodity prices, expected development, acreage, royalty terms, ownership calculations, and other relevant factors.
Mineral interests involve uncertainty. Ownership, title, production, commodity prices, operator activity, regulatory conditions, development plans, and other circumstances may change or differ from the information initially available.
OGI Minerals does not guarantee:
- That an interest qualifies for purchase;
- That an initial ownership estimate is correct;
- That title will be satisfactory;
- That an indicated price will remain available;
- That a transaction will close within a particular period;
- That wells will be drilled or continue producing;
- Any amount of future production, royalties, or revenue; or
- Any particular tax, financial, or legal result.
You should consult your own attorney, tax professional, financial adviser, or other qualified professional before deciding whether to enter into a transaction.
5. Separate Transaction Documents
If you and OGI Minerals proceed with a potential transaction, you may be asked to enter into a separate purchase agreement, mineral deed, assignment, closing document, or other written agreement.
Those transaction documents will contain the specific terms governing the proposed transaction. If a provision of these Website Terms conflicts with a signed transaction document, the signed transaction document will control with respect to that transaction.
Nothing in these Terms modifies an existing written agreement between you and OGI Minerals.
6. Information You Provide
You may provide information through the Website or through subsequent communications, including:
- Contact information;
- Property addresses and legal descriptions;
- Section, township, range, or parcel information;
- County and state information;
- Acreage and royalty information;
- Mineral ownership information;
- Lease and production information;
- Royalty statements or check details;
- Deeds, leases, division orders, title documents, or other records; and
- Questions, comments, and correspondence.
By providing information to us, you represent that:
- The information is accurate to the best of your knowledge;
- You have the right and authority to provide it;
- Providing it does not violate another person’s rights or any legal obligation;
- Any documents you provide are genuine and have not been improperly altered; and
- You are not impersonating another person or misrepresenting your ownership or authority.
You authorize OGI Minerals to use the information for the purposes described in our Privacy Policy, including evaluating an interest, researching ownership and title, communicating with you, preparing potential pricing or offers, conducting due diligence, and administering a potential transaction.
Please do not submit Social Security numbers, banking credentials, or other highly sensitive information through a general Website form unless OGI Minerals specifically instructs you to use an approved method.
7. Permitted Use of the Website
You may use the Website only for lawful purposes and in accordance with these Terms.
You may not:

12. SMS Terms and Conditions
Program Description
If you separately consent to receive text messages from OGI Minerals, we may send you SMS or MMS messages concerning:
- Mineral-rights pricing and purchase opportunities;
- Potential offers;
- Your inquiry or consultation;
- Requests for property or ownership information;
- Evaluation and transaction updates;
- Follow-up communications; and
- Promotional offers or other updates described when you opt in.
Consent
By voluntarily providing your mobile number and checking the applicable SMS consent box, you authorize OGI Minerals to send text messages to the number provided.
Messages may be sent using an automatic telephone dialing system or other automated technology where permitted by law.
Consent to receive promotional text messages is not a condition of selling mineral rights, receiving an evaluation or offer, or purchasing any goods or services.
You represent that:
- You are the subscriber or customary user of the telephone number provided;
- You are authorized to consent to receiving messages at that number; and
- You will notify us if you stop using or controlling that number.
Message Frequency and Charges
Message frequency varies depending on your inquiry, communications, potential transaction, and engagement with OGI Minerals.
Message and data rates may apply. Your wireless carrier’s standard message, data, and other charges may apply to messages sent by OGI Minerals and messages you send to us.

Opting Out
You may cancel SMS messages at any time by replying STOP to a message from OGI Minerals.
After you send STOP, you may receive a final confirmation message stating that you have been unsubscribed. After that confirmation, you will no longer receive messages covered by that opt-out request unless you subsequently provide consent again.

This section concerns use of the Website. Any liability associated with a signed mineral-rights transaction will be governed by the applicable transaction documents and law.
16. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless OGI Minerals and its members, managers, officers, employees, representatives, contractors, and affiliates from claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys’ fees arising from:
- Your unlawful or unauthorized use of the Website;
- Information or documents you knowingly provide without authorization;
- Your material violation of these Terms; or
- Your infringement of another person’s rights.
This section does not require you to indemnify OGI Minerals for conduct for which indemnification cannot lawfully be required.

18. Governing Law and Venue
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
Any legal action relating specifically to these Website Terms or your use of the Website must be brought in a state or federal court with appropriate jurisdiction serving Archuleta County, Colorado, unless applicable law requires another location.
Each party consents to the personal jurisdiction of those courts.
This section does not replace any dispute-resolution, governing-law, or venue provision contained in a separate signed transaction agreement.
19. Changes to These Terms
We may update these Terms periodically to reflect changes in our Website, services, communications, business practices, or legal obligations.
The revised Terms will be posted on this page with an updated “Last Updated” date. Changes apply prospectively from the effective date of the revised Terms.

They do not replace or modify any separate purchase agreement, mineral deed, assignment, confidentiality agreement, closing document, or other written agreement signed by you and OGI Minerals.
